Terms of Service

Owls Investment Group LLC — operating as OWLS Capital

Effective Date: April 23, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "member," or "user") and Owls Investment Group LLC, a California limited liability company doing business as OWLS Capital ("OWLS Capital," "we," "us," or "our"). They govern your access to and use of our Discord community, live voice-chat trading sessions, trade callouts, educational content, community channels, and related services (collectively, the "Services").

By joining our Discord, purchasing a subscription through Whop, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms, our Privacy Notice, and our Refund & Dispute Policy (each incorporated by reference). If you do not agree, do not use the Services.

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Nature of the Services

OWLS Capital operates an educational trading community. Our Services may include:

• Access to a Discord server with community discussion channels
• Daily live voice-chat trading sessions during US market hours
• Unusual options flow commentary, trade callouts, and setups posted in real time
• Educational content on trading strategies, risk management, and market structure
• Peer discussion, analyst commentary, and chart breakdowns
• Monthly community recaps summarizing calls posted during the month

OWLS Capital does NOT:

• Act as a broker, dealer, investment adviser, commodity trading advisor, or portfolio manager
• Take custody or control of your funds or brokerage accounts
• Execute trades on your behalf
• Offer one-on-one mentorship or personalized financial planning
• Provide personalized investment advice tailored to your financial situation
• Guarantee any profit, performance, or trading result

3. No Financial Advice

All content, commentary, trade callouts, live voice-chat sessions, analysis, and educational material provided through the Services is for general informational and educational purposes only. It does not constitute, and should not be relied upon as, financial, investment, tax, legal, or other professional advice.

Any trade ideas, entries, exits, stop-losses, targets, or commentary reflect the personal views of the analyst or member sharing them at a given moment and may change without notice. They are not recommendations to buy, sell, or hold any security, option, future, or other financial instrument.

You are solely responsible for your own trading decisions and financial outcomes. Before making any investment or trading decision, you should consult with a licensed financial professional who understands your individual circumstances.

4. Risk Disclosure

TRADING INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR EVERY INVESTOR.

You acknowledge and agree that:

• Trading stocks, options, futures, forex, and other financial instruments involves a high level of risk and may result in the partial or total loss of your capital.
• Options trading in particular is speculative and carries a significant risk of loss. Certain options strategies can result in losses that exceed your initial investment.
• Past performance, screenshots, testimonials, monthly recaps, or historical calls shown in our marketing or community are not indicative of future results.
• Individual results vary. The experience of any member, analyst, or testimonial is not typical and should not be interpreted as a promise or guarantee of your own results.
• Hypothetical or simulated performance results have inherent limitations and do not represent actual trading.
• You should only trade with capital you can afford to lose.
• You should consult with a licensed financial professional before making any investment decision.

5. Eligibility and Jurisdiction

OWLS Capital is operated from California, United States. Access to certain Services may be restricted in certain jurisdictions based on local laws, regulations, or platform requirements. You are responsible for ensuring that your use of the Services complies with the laws of your jurisdiction.

If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws, including any applicable securities, tax, and consumer protection laws.

6. Accounts and Access

To access paid features, you must create an account through our third-party platform Whop and join our Discord server. You are responsible for:

• Providing accurate and current registration information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate any account that violates these Terms, engages in abusive conduct, or shares access with unauthorized users, without refund.

7. Payments, Subscriptions, and Refunds

7.1 Payment Processing

All payments for paid tiers are processed through Whop, our third-party checkout and membership platform. By purchasing a subscription or lifetime membership, you also agree to Whop's Terms of Service and Privacy Policy, which govern the payment relationship between you and Whop. We do not receive or store full payment card details.

7.2 Subscription Terms

Recurring subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel your subscription at any time through your Whop account dashboard. Cancellation stops future billing; you retain access until the end of your current billing period.

7.3 Refund Policy

Our Refund & Dispute Policy forms part of these Terms and governs all refund matters. In summary: our Services are digital and delivered instantly upon purchase; all sales are final and non-refundable, including lifetime memberships, except where refunds are required by applicable law. Please read the full Refund & Dispute Policy before purchasing.

7.4 Chargebacks

Initiating a chargeback or payment dispute with your bank or card issuer without first contacting us and Whop to resolve the issue is a breach of these Terms. Chargebacks may result in permanent termination of your account and loss of access to the Services without refund. We reserve the right to dispute chargebacks and to pursue recovery of amounts owed, including reasonable collection costs and attorney's fees.

8. Intellectual Property

All content provided through the Services — including but not limited to trade callouts, live session recordings, educational videos, written materials, chart analysis, the OWLS Capital name and logo, and the structure and configuration of our Discord server — is the property of Owls Investment Group LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content for your personal, non-commercial use as a member. You may not:

• Redistribute, resell, republish, or share trade callouts, recordings, or materials outside the community
• Screen-record, screenshot, or otherwise capture live voice sessions for distribution
• Post member-only content on social media, forums, competing Discords, or anywhere outside our server
• Use our content to train machine learning models or to build competing products or services
• Remove or alter any proprietary notices

Violation of this section may result in immediate termination without refund and may subject you to legal action, including claims for damages, injunctive relief, and attorney's fees.

9. User Submissions and Community Content

When you post messages, testimonials, screenshots, questions, or other content in our Discord or through any OWLS Capital channel, you grant Owls Investment Group LLC a worldwide, royalty-free, non-exclusive, perpetual, irrevocable license to use, display, reproduce, modify, and distribute that content in connection with our community and marketing, including on our website, social media, and promotional materials. You retain ownership of your content.

You represent that any content you submit is your own and does not infringe the rights of any third party.

10. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or third-party right
• Share, resell, or redistribute trade callouts, recordings, or member-only content
• Share your Discord or Whop access with anyone else
• Impersonate another person or misrepresent your identity, affiliation, or financial status
• Harass, threaten, defame, or abuse other members, analysts, or staff
• Solicit other members for unrelated services, schemes, or competing communities
• Post misleading, manipulative, or pump-and-dump trade calls
• Interfere with the operation, security, or integrity of the Services
• Use bots, scrapers, or automated tools to extract content from Discord

We reserve the right, at our sole discretion and without notice, to remove content, issue warnings, suspend, or permanently ban members who violate these rules, without refund.

11. Third-Party Services

The Services rely on third-party platforms, including Discord (community hosting) and Whop (subscription and payment processing). Your use of those platforms is also governed by their own terms and privacy policies. OWLS Capital is not responsible for the content, practices, availability, or policies of any third-party service, nor for any interruption or loss caused by a third-party platform.

Any references to brokers, trading platforms, or third-party tools in our community are provided for informational purposes only and do not constitute an endorsement. We are not responsible for the execution quality, pricing, reliability, or compliance practices of any third-party broker or platform.

12. Modification and Termination of Services

We may, at any time and at our sole discretion:

• Modify, update, or discontinue any part of the Services
• Add, remove, or change features, channels, pricing, or tier structures
• Suspend or terminate your access for violation of these Terms
• Remove content or restrict participation in any channel or session

For lifetime memberships, "lifetime" refers to the ongoing operational lifetime of OWLS Capital as a community. If we permanently cease operations, we will provide reasonable advance notice to active lifetime members where practicable, but we make no guarantee of perpetual operation.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLS INVESTMENT GROUP LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, nor do we warrant the accuracy, timeliness, or reliability of any trade callout, analysis, or educational content.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLS INVESTMENT GROUP LLC AND ITS MEMBERS, MANAGERS, OWNERS, EMPLOYEES, ANALYSTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOST DATA, LOST OPPORTUNITIES, OR DAMAGE TO REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising out of or related to the Services shall not exceed the greater of: (a) the total amount you paid to OWLS Capital in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Owls Investment Group LLC, OWLS Capital, and their respective members, managers, owners, employees, analysts, contractors, and affiliates from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or third-party right
• Any trade or financial decision you make based on content from the Services
• Any content you post, share, or submit through the Services

16. Dispute Resolution and Arbitration

READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

16.1 Informal Resolution First

Before filing any claim, you agree to contact us at support@owls.capital and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes are resolved this way.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Los Angeles County, California, in the English language. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND OWLS INVESTMENT GROUP LLC AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

16.4 Small Claims Exception

Either party may bring an individual action in small claims court for disputes that qualify under the court's jurisdictional limits, as an alternative to arbitration.

16.5 Governing Law

These Terms and any dispute arising under them are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to Section 16.2, the state and federal courts located in Los Angeles County, California shall have exclusive jurisdiction over any matter not subject to arbitration.

17. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on our community channels or otherwise made available with a revised "Effective Date." Material changes will be communicated through our Discord or by email where reasonably possible. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Notice and Refund & Dispute Policy, constitute the entire agreement between you and Owls Investment Group LLC regarding the Services and supersede any prior agreements.
